Die Gesamtverantwortung der Kollegialorgane juristischer Personen und die Haftungskonzentration durch Ressortaufteilung
Zusammenfassung
Durch das „Weltruf“-Urteil des Bundesgerichtshofs (Az. II ZR 11/17) ist die organinterne Ressortaufteilung wieder in den Fokus gerückt. Doch wie und in welchen Grenzen modifiziert die vorstandsinterne Ressortaufteilung die Pflichten einzelner Vorstandsmitglieder? Die Dissertation identifiziert in der Rechtsprechung ein Begründungsdefizit für organinterne Überwachungspflichten und entwickelt hierzu ein rechtsdogmatisches Lösungsmodell. Dabei liegt ein Fokus auf dem Verhältnis zwischen dem Kollegialorgan und den einzelnen Vorstandsmitgliedern. Die Dissertation widmet sich zudem praxisrelevanten Folgefragen der Pflichtenmodifikation und untersucht den legislativen Handlungsbedarf.
Abstract
The „Weltruf“-judgement of the Federal Court of Justice (file no. II ZR 11/17) has brought the internal division of responsibilities within a company body back into focus. But how and to what extent does the division of responsibilities within the management board modify the duties of individual board members? The dissertation identifies a lack of justification in the jurisdiction for board-internal duties of supervision and develops a legal-dogmatic solution model. The focus is on the relationship between the collegial body and the individual board members. The dissertation also addresses practical follow-up questions regarding the modification of duties and analyses the need for legislative action.
